Attention: Holders of OJSC Lipetskcombank Securities
OJSC Bank ZENIT is acquiring shares in OJSC Lipetskcombank on the terms specified in Mandatory Offer to Purchase Securities of an Open Joint Stock Company dated November 23, 2007, made in accordance with Federal Law dated December 26, 1995, No. 208-FZ On Joint Stock Companies, and Order of FSFM of the Russian Federation dated July 13, 2006, No. 06-76/pz-n On Approval of Regulations Stipulating Requirements Applicable to Procedures for the Performance of Certain Actions in Connection with the Acquisition of 30 Percent or More of Shares in Open Joint Stock Companies.
The holders of shares in OJSC Lipetskcombank may agree or decline to sell their shares in OJSC Lipetskcombank.
If you decide to sell your shares in OJSC Lipetskcombank, you need, during the period from January 10, 2008, to March 25, 2008, to submit to OJSC Bank ZENIT an Application for the Sale of Shares and a Transfer Order completed in block capitals.
The aforementioned Application and Transfer Order can be mailed or delivered personally/by courier (at your election) to the following address: 9, Banny Pereulok, 129110 Moscow, OJSC Bank ZENIT.
During the period from March 26, 2008, to April 22, 2008, the registrar of OJSC Lipetskcombank (OOO "R-Stinol"), acting pursuant to the Transfer Order, will transfer the shares from your personal account to the personal account of OJSC Bank ZENIT.
OJSC Bank ZENIT will, not later than May 6, 2008, or within fourteen (14) days following the date of the credit entry made on the personal account of OJSC Bank ZENIT in the register of shareholders of OJSC Lipetskcombank, effect the payment (transfer cash to the account specified by you in the Application) for the shares in OJSC Lipetskcombank transferred by the registrar.
