Overview of the Bank and the Banking Group

Bank ZENIT was established in December of 1994 by the the Academy of National Economy under the Government of the Russian Federation, the oil company Tatneft and a number of other legal entities. Chairman of the Bank's Board of Directors is Mr. Alexei A. Sokolov, one of its founding fathers. Chairman of the Bank's Management Board is Mr. Kirill O. Shpigun, appointed in 2005.

Bank ZENIT is a leading private financial/lending institution in the country that views provision of full-scale corporate services as one of its major lines of operation. Active in the development and promotion of retail services, Bank ZENIT offers its retail customers a full spectrum of banking programs, including deposits, mortgage loans, consumer loans and auto loans, plastic cards and safe deposit boxes. The Bank is a strong player on the private banking market.

Bank ZENIT is one of the most dynamic Russian banks that is currently rated Bа3/Stable by Moody's and B+/Stable by Fitch.

As an active debt market player, Bank ZENIT arranged 7 international syndicated loans, 2 Eurobond issues (the debut issue was repaid in 2006) и 5 ruble bond issues (the first and second issues were repaid in 2007 and 2009 respectively).

Being a member of the Association of Russian Banks, represented in the Association's Council, Bank ZENIT takes an active part in the reforms underway in the Russian banking sector.

The Bank carries out a lot of charity work and sponsors various sports, such as ice hockey, rugby, rafting, sporting and auto racing. Some of the Bank's charity projects provide assistance to children and children's institutions.

Banking Group ZENIT was formed in 2005 as a result of the purchase by Bank ZENIT of a controlling stake in JSB Devon-Credit (OJSC). In 2007, the Banking Group acquired OJSC Lipetskkombank and JSB Sochigazprombank LLC (later renamed into Bank ZENIT Sochi). OJSC Spiritbank (the city of Tula) joined the Group in December 2008.

According to the consolidated financial statement of the Banking group for 2009, made in accordance with IFRS, equity capital of the Banking group amounts to RUR 19,7 bn, assets amount to RUR 186 bn.

The Banking Group ZENIT maintains presence in 23 out of 83 Russian regions. Its proprietary sales network has 153 outlets. The Group provides full-scale banking services along the following lines: comprehensive servicing of corporate customers; retail servicing of individuals; investment banking; and interbank business.
