Information Policy of OJSC Bank ZENIT seeks to supply full and reliable information about the Bank and the Bank's activities to shareholders, investors and other stakeholders.
If the Bank provides information on its own initiative, it chooses a method for information provision at its own discretion with due consideration of interests of its shareholders, investors and other stakeholders.
The Chairman of the Executive Board of the Bank and a member of the Executive Board appointed by the Chairman coordinate the Bank personnel's work to implement the Bank's information policy.
Below are the key principles of the Bank's information policy:
- Compliance with the Federal Law «On Banks and Banking Activities» № 395-1, dated December 2, 1990; the Federal Law «On Joint-Stock Companies» № 208-ФЗ, dated December 26, 1995; the Federal Law «On Securities Market» № 39-ФЗ, dated April 22, 1996; the Federal law «On Commercial Secret» № 98, dated July 29, 2004; regulations of the Central Bank of the Russian Federation and the federal securities market executive authority, and other normative acts regulating information disclosure.

The Bank obligingly discloses information if its disclosure is required by the Federal Law «On Joint-Stock Companies» № 208-ФЗ, dated December 26, 1995; the Federal Law «On Securities Market» № 39-ФЗ, dated April 22, 1996; the Federal Law «On Banks and Banking Activities» 395-1, dated December 2, 1990; regulations of the Central Bank of the Russian Federation and the federal securities market executive authority, and other normative acts regulating information disclosure as well as requirements of trade institutors of the securities market on which the Bank's securities are listed. The Bank may also provide other information that may be of importance for shareholders, investors and other stakeholders to help them take managerial or investment decisions regarding the Bank.
When required and following procedures established by effective Russian law, the Bank discloses information about its shareholders, and also holders of its shareholders' stock. Members of the Bank's Board of Directors, the Chairman of the Management Board and members of the Management Board disclose information about the Bank's securities they buy or sell to the Central Bank of the Russian Federation, the Federal Financial Markets Service and the Federal AntiMonopoly Service.
The Bank annually supplies its yearly report to its shareholders. Information contained in the report must be consistent with requirements of effective Russian law and must allow the shareholders to appraise the Bank's performance within the reporting year.
The Bank seeks to avert conflicts of interest and prevent abuse of insider information. The use of insider information about the Bank's activities is regulated by the Bank's Insider Information Rule.
The Banking Group ZENIT information policy lays down the Group's common principles of information interaction between OJSC Bank ZENIT, Joint-Stock Bank Devon-Credit, OJSC Lipetskkombank and LLC Bank ZENIT Sochi as the Banking Group members.
The Banking Group information policy was elaborated under effective Russian law and the Charters of Bank ZENIT, Devon-Credit, Lipetskkombank and Bank ZENIT Sochi.
The common information policy is aimed at supplying to the fullest possible extent the information needs of Bank ZENIT as the Head Organisation and also Devon-Credit, Lipetskkombank and Bank ZENIT Sochi as lending institutions and members of the Banking Group that require reliable information about the Group and its activities.
The Banking Group ZENIT information policy does not regulate disclosure by Bank ZENIT, Devon-Credit, Lipetskkombank and Bank ZENIT Sochi of the information they disclose as security market players. Disclosure of such information is regulated by internal rules of Bank ZENIT, Devon-Credit, Lipetskkombank and Bank ZENIT Sochi.
The procedure of and reasons for disclosure of proprietary information and commercial secrets of the Banking Group ZENIT are regulated by Russian law and the internal rules of the Group's members.
